These Terms define how DataFuseAI services are used—openly, responsibly, and securely.

Effective Date: January 02, 2026

These Terms and Conditions ("Terms") govern access to and use of the DataFuseAI platform and services (the "Service"), provided by DataFuseAI ("DataFuseAI," "we," "us," or "our").

By creating an account, executing an order form, or using the Service, you agree to these Terms.

If you are using the Service on behalf of an organization ("Customer"), you represent that you have authority to bind that organization.

1. Agreement Structure and Order of Precedence

If Customer purchases a paid subscription, the parties may enter into one or more order forms ("Order Forms"). The agreement may also include a Data Processing Addendum ("DPA") and Service Level Agreement ("SLA") if applicable.

If there is a conflict, the order of precedence is:

  1. Order Form
  2. DPA
  3. SLA
  4. These Terms
  5. Documentation

2. Definitions

Key definitions:

  • "Authorized User" means a user authorized by Customer to access the Service.
  • "Customer Data" means all data submitted to or processed by the Service on Customer's behalf, including outputs, metadata, and files.
  • "Usage Data" means aggregated and/or de-identified data about usage and performance of the Service.
  • "Connection Profiles" means saved connection configurations (including credentials/secrets).
  • "Drivers" means connectivity components including uploaded or installed drivers/connectors.
  • "Engines" means execution environments (including third-party engines such as Databricks or Livy).
  • "Queries" means queries executed through the Service.
  • "Pipelines" means workflows for ETL/ELT and transformation.
  • "Jobs" means scheduled orchestration runs.
  • "Exports" means user-initiated downloads or outbound transfers of results/files.
  • "Confidential Information" means non-public information disclosed by one party to the other.
  • "Security Incident" means unauthorized access to Customer Data within DataFuseAI-controlled systems.

3. Eligibility and Account Registration

3.1 Eligibility.

You must be at least 18 years old to use the Service.

3.2 Account information.

You must provide accurate and complete information and keep it updated.

3.3 Account security.

Customer is responsible for all activity under its accounts and for protecting usernames, passwords, and authentication methods.

3.4 Unauthorized access.

Customer must notify DataFuseAI promptly if it suspects unauthorized access.

4. License and Permitted Use

4.1 License grant.

Subject to these Terms and payment of applicable fees, DataFuseAI grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right for Authorized Users to access and use the Service during the subscription term for internal business purposes.

4.2 Documentation.

Customer will use the Service in accordance with the Documentation.

4.3 Usage limits.

Customer must comply with any usage limits stated in the Order Form (such as duration, storage, executions, or feature limits).

5. Acceptable Use and Restrictions

Customer and Authorized Users must not:

  • reverse engineer, decompile, or attempt to derive source code (except where prohibited by law)
  • bypass tenant isolation or access other customers' data
  • upload malware, exploit code, or malicious drivers
  • interfere with or disrupt the Service (including abusive automated requests or cryptomining)
  • use the Service to process data without having legal rights or required permissions
  • use the Service to violate applicable laws or regulations
  • remove or obscure proprietary notices
  • resell, sublicense, or provide the Service to third parties unless expressly permitted in writing

DataFuseAI may suspend or restrict access to protect the Service, customers, or legal compliance.

6. Deployment Models

DataFuseAI may be offered under one or more deployment models:

6.1 Managed Deployment (Hosted SaaS)

DataFuseAI hosts and operates the Service in a multi-tenant environment with logical tenant separation.

6.2 Private-hosted (your infrastructure)

Customer deploys the Service in its own environment. Customer is responsible for infrastructure, network security, and operational controls in its environment.

6.3 Local on-premise (offline)

Customer runs the Service entirely within its internal network, potentially with no external hosting and no internet dependency. Some telemetry, updates, or features may not be available in offline mode.

7. Customer Data and Data Processing

7.1 Customer Data ownership.

Customer retains all rights in Customer Data. DataFuseAI does not own Customer Data.

7.2 Processing rights.

Customer grants DataFuseAI the right to process Customer Data only to provide, secure, and support the Service.

7.3 Customer responsibilities.

Customer represents and warrants that:

  • it has all necessary rights to provide Customer Data to DataFuseAI; and
  • its use of the Service complies with applicable laws.

7.4 DPA.

If required, the parties will enter into a DPA governing processing of Personal Data in Customer Data.

7.5 Usage Data.

DataFuseAI may generate and use Usage Data to operate and improve the Service.

8. Module-Specific Terms

8.1 Connection Profiles

  • Connection Profiles may store endpoints, configuration, and credentials.
  • Customer is responsible for credential scope, validity, and rotation.
  • Disabling or changing Connection Profiles may break dependent workflows.

8.2 Drivers and Uploaded Components

  • Customer is responsible for licensing and legality of uploaded drivers/connectors.
  • Customer must not upload malicious or unsafe files.
  • DataFuseAI may scan, reject, quarantine, or remove drivers that pose risk.

8.3 Engines (Including Third-Party Engines)

  • Engines may rely on third-party services (e.g., Databricks/Livy).
  • Customer is responsible for third-party accounts, access permissions, and costs.
  • DataFuseAI is not responsible for third-party outages, rate limits, or API changes.

8.4 Queries

  • Customer is responsible for validating query outputs.
  • Query history may be stored for operational, audit, and troubleshooting purposes.

8.5 Pipelines

  • Pipelines may generate intermediate processing artifacts for execution and debugging.
  • Customer is responsible for verifying pipeline correctness and outputs.
  • Profiling outputs may reveal sensitive information depending on Customer Data.

8.6 Jobs / Scheduler

  • Jobs are executed based on Customer schedules and configurations.
  • Jobs may retry and, under some failure conditions, may run more than once.
  • Customer is responsible for designing workflows to handle retries safely.

8.7 File Explorer

  • File Explorer supports organization, sharing, and trash/restore mechanics.
  • Customer is responsible for internal sharing permissions and access control.

8.8 Logs and Audit Logs

  • Logs and audit events support observability, troubleshooting, and security.
  • Logs may contain sensitive information depending on customer inputs and configuration.

8.9 Exports / Downloads

  • Exports are user-initiated.
  • Once exported, Customer is responsible for securing exported files and controlling access.
  • Export events may be logged for audit purposes.

9. Security

9.1 Security measures.

DataFuseAI maintains reasonable safeguards designed to protect the Service and Customer Data, including encryption, access controls, and monitoring.

9.2 Shared responsibility.

Customer is responsible for:

  • managing users and permissions
  • securing source/destination systems
  • securing credentials and rotating secrets
  • protecting exported files after download

9.3 Security Incidents.

Security Incident obligations may be defined in the DPA and/or Order Form.

10. Support and Maintenance

Support terms (channels, hours, response times) may be defined in an Order Form, SLA, or support policy.

Customer may be required to provide logs, diagnostics, or access approvals for troubleshooting, especially for Private-hosted and Offline deployments.

11. Fees, Billing, and Taxes

11.1 Fees.

Fees are stated in the Order Form.

11.2 Billing model.

DataFuseAI may offer seat-based, usage-based, or hybrid pricing depending on the subscription plan.

11.3 Taxes.

Customer is responsible for applicable taxes except taxes on DataFuseAI's income.

11.4 Nonpayment.

DataFuseAI may suspend Service access for nonpayment after reasonable notice.

11.5 Refunds.

Fees are non-refundable except where required by law or expressly stated in an Order Form.

12. Confidentiality

Each party agrees to protect the other party's Confidential Information using reasonable care.

Confidential Information includes:

  • Customer Data
  • credentials and secrets
  • query text and pipeline logic
  • security and architecture details
  • non-public pricing and commercial terms

13. Intellectual Property

13.1 DataFuseAI IP.

DataFuseAI retains all rights to the Service, software, and Documentation.

13.2 Customer IP.

Customer retains ownership of Customer Data.

13.3 Feedback.

If Customer provides suggestions or feedback, DataFuseAI may use it without restriction and without obligation to Customer.

14. Third-Party Services

The Service may integrate with third-party services controlled by Customer. DataFuseAI is not responsible for:

  • third-party service availability
  • third-party security incidents outside DataFuseAI systems
  • third-party pricing or policy changes
  • third-party API changes or rate limits

15. Termination and Suspension

15.1 Suspension.

DataFuseAI may suspend access if necessary to:

  • protect the Service or Customer Data
  • respond to security threats or abuse
  • comply with legal requirements
  • address material violations of these Terms

15.2 Termination.

Either party may terminate for material breach if not cured within a reasonable time.

15.3 Effect of termination.

  • Customer access ends at termination (subject to any contractual wind-down).
  • Customer may export Customer Data during the export window (if applicable).
  • Customer Data will be deleted according to retention policies and contractual requirements, subject to backups and legal holds.

16. Warranties and Disclaimers

To the maximum extent permitted by law:

  • The Service is provided "AS IS" and "AS AVAILABLE."
  • DataFuseAI does not guarantee uninterrupted or error-free operation.
  • DataFuseAI does not guarantee correctness of query results, transformations, profiling outputs, or exported data.
  • Customer is responsible for validating outputs and ensuring suitability for its use cases.

17. Limitation of Liability

To the maximum extent permitted by law:

17.1 No indirect damages.

DataFuseAI is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.

17.2 Liability cap.

DataFuseAI's total liability arising out of or related to the Service will not exceed the amounts paid by Customer to DataFuseAI in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so these limitations may not apply to you in full.

18. Indemnification

18.1 Customer indemnity.

Customer will defend and indemnify DataFuseAI from third-party claims arising from:

  • Customer Data or Customer's unlawful processing of data
  • Customer's breach of these Terms
  • Customer-provided drivers/connectors or malicious uploads
  • Customer's misuse of third-party services or credentials

18.2 DataFuseAI IP indemnity.

DataFuseAI will defend and indemnify Customer against third-party claims alleging the Service infringes intellectual property rights, subject to standard exclusions (such as modifications not authorized by DataFuseAI or combinations with non-DataFuse systems).

19. Compliance and Export Controls

Customer agrees not to use the Service in violation of export control laws, sanctions laws, or anti-corruption laws.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

Any disputes will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue there.

21. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service or other reasonable means.
